AS-IS SALE: All equipment is sold strictly “AS IS, WHERE IS”, with all faults, and without any warranty or guarantee, express or implied. Buyer assumes full responsibility for inspection, testing, and acceptance of the equipment prior to purchase.

DISCLAIMER OF WARRANTIES: Texas Machinery Exchange expressly disclaims, to the fullest extent permitted by law, all warranties, whether express or implied, including but not limited to any warranty of merchantability, fitness for a particular purpose, performance, durability, condition, or suitability of the equipment, its components, or accessories.

NO RETURNS / NO REFUNDS: All sales are final. No returns, refunds, exchanges, or credits will be accepted under any circumstances. Buyer waives any right to revoke acceptance of the equipment once purchased.

LIMITATION OF LIABILITY: In no event shall Texas Machinery Exchange be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, downtime, or damage to other property, arising out of or relating to the sale, use, or operation of the equipment.

SPECIFICATIONS: All specifications are believed to be accurate but must be verified by Buyer prior to purchase.

ENTIRE AGREEMENT: This document constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification shall be valid unless in writing and signed by both parties.

ERRORS: Texas Machinery Exchange reserves the right to correct clerical or typographical errors.

GOVERNING LAW & VENUE: This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Buyer agrees that any dispute, claim, or cause of action arising out of or relating to this Agreement or the equipment shall be brought exclusively in the state or federal courts located in Montgomery County, Texas, and Buyer hereby submits to the personal jurisdiction of such courts.
